1. Who you are contracting with
These terms govern your use of the Suanpan mobile application (the "App"), provided by:

References to "I", "me", or "we" in these terms refer to the above. References to "you" refer to the user of the App.
2. Acceptance
By downloading, installing, or using the App you accept these terms in full. If you do not agree, do not install or use the App. These terms apply in addition to the terms of the platform (Apple App Store or Google Play) through which you obtained the App.
3. License to use the App
I grant you a personal, non-exclusive, non-transferable, revocable license to use the App on devices you own or control, for your personal, non-commercial use, subject to these terms. All intellectual property rights in the App, including code, design, content, and trademarks, remain with me.
You agree not to:
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App, except to the extent expressly permitted by applicable law
- Resell, redistribute, sublicense, or commercially exploit the App or any part of it
- Use the App for any unlawful purpose or in violation of any applicable law or regulation
- Circumvent or attempt to circumvent any security or technical limitations of the App
- Use the App in a way that could damage, disable, or impair its functionality or the underlying infrastructure
4. Disclaimers
The App is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, I make no warranty that the App will be uninterrupted, error-free, secure, or that defects will be corrected.
Note for EU consumers. Nothing in these terms limits or excludes any non-waivable statutory rights you have as a consumer under the laws of your country of residence, including rights conferred by Italian Codice del Consumo (Decreto Legislativo 206/2005) and EU consumer protection law. Where a clause of these terms would conflict with a mandatory consumer right, the mandatory consumer right prevails.
5. Limitation of liability
To the maximum extent permitted by applicable law, my total cumulative liability arising from or related to your use of the App is limited to the greater of: (a) the amount you actually paid for the App or in-app purchases in the 12 months preceding the event giving rise to liability; or (b) €50.
I am not liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, goodwill, or other intangible losses.
This limitation does not apply to liability that cannot be excluded or limited under applicable law, including liability for gross negligence (colpa grave), intentional misconduct (dolo), or death or personal injury caused by negligence.
6. Updates and discontinuation
I may release updates, modifications, or new versions of the App at any time. I may also discontinue the App, in whole or in part, without prior notice.
I may also update these terms. Material changes will be posted at this URL with a revised effective date. For significant changes, I will notify users in the App where reasonably possible. Continued use of the App after a change indicates acceptance of the updated terms.
7. Termination
You may stop using the App at any time by uninstalling it from your device.
I may suspend or terminate your access to the App at any time if you materially breach these terms or if continued provision would be unlawful. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, governing law) will continue to apply.
8. Governing law and jurisdiction
These terms are governed by Italian law, without regard to its conflict-of-laws principles.
For consumers. Any dispute may be brought before the court of your place of residence or domicile in Italy, as provided by mandatory consumer protection law. If you reside in another EU member state, you may also bring proceedings in the courts of that state.
For non-consumer users. The exclusive jurisdiction is the Tribunale di Venezia, Italia.
Online dispute resolution (EU consumers). The European Commission provides an Online Dispute Resolution platform at ec.europa.eu/consumers/odr for the out-of-court resolution of disputes arising from online contracts. You may use this platform if you wish to attempt resolution outside the courts.
9. Severability
If any provision of these terms is found to be unenforceable, the remaining provisions remain in full effect, and the unenforceable provision shall be replaced by an enforceable provision that most closely reflects its original intent.
